Acceptance of Terms
These Terms of Service govern your access to and use of InspectModular, an AI governance and audit platform operated by InspectModular Technologies Inc. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2.
Description of Service
InspectModular provides enterprise software for monitoring, auditing, and governing AI agent activity across development environments. The Service includes a local daemon, API infrastructure, a web dashboard, and associated SDKs. The specific features available to your organization depend on the agreement established during onboarding.
3.
Enterprise Access
Access to Primer is granted by invitation only following a review and approval process. InspectModular reserves the right to decline any access request at its sole discretion. Organizations must designate at least one administrator responsible for managing access and configuring policy within their workspace.
4.
Permitted Use
You may use InspectModular solely for your internal business purposes in accordance with these Terms and any applicable laws. You may not: (a) resell or sublicense access to the Service; (b) use the Service to build a competing product; (c) reverse engineer or attempt to extract source code from the Service; or (d) use the Service in any manner that could damage, disable, or impair InspectModular's infrastructure.
5.
Data and Privacy
InspectModular processes structured metadata about AI agent activity, including tool names, action types, timestamps, token counts, and policy outcomes. InspectModular does not process, store, or transmit source code, file contents, or AI prompt text. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
6.
Data Security
InspectModular maintains commercially reasonable security measures to protect your data, as described in the Security documentation. Enterprise customers may request a Data Processing Agreement (DPA) prior to deployment. InspectModular will notify affected customers without undue delay in the event of a confirmed security incident affecting their data.
7.
Intellectual Property
InspectModular and its licensors retain all intellectual property rights in the Service. These Terms do not grant you any rights to InspectModular's trademarks, logos, or branding. You retain ownership of all data you submit to the Service.
8.
Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9.
Limitation of Liability
To the maximum extent permitted by law, InspectModular's total liability arising out of or related to these Terms shall not exceed the fees paid by your organization in the twelve months preceding the claim. In no event shall InspectModular be liable for indirect, incidental, special, consequential, or punitive damages.
10.
Indemnification
You agree to indemnify and hold harmless InspectModular and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11.
Termination
Either party may terminate the agreement upon written notice if the other party materially breaches these Terms and fails to cure the breach within 30 days of notice. Upon termination, your access to the Service will be deactivated. You may request an export of your audit data within 30 days of termination.
12.
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
13.
Changes to Terms
InspectModular may update these Terms at any time. We will provide at least 30 days notice for material changes via the email address associated with your account. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
